1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of stoneblossomllc.com (the “Site”), operated by Stone Blossom Capital LLC (“Stone Blossom,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site.

2. About Stone Blossom Capital LLC

Stone Blossom Capital LLC is a fiduciary services firm. Through Stone Blossom Capital, Richard P. Ormond and the firm’s professionals serve as court-appointed Receiver, Assignee for the Benefit of Creditors (ABC), Chief Restructuring Officer, provisional director, special master, collateral agent, administrative agent, and in other fiduciary capacities in state, federal, and bankruptcy courts across the United States.

2.1 Not Legal Advice

Nothing on this Site constitutes legal advice. The information presented is for general informational purposes only and is not intended as, and may not be relied upon as, legal advice on any matter. You should not act or refrain from acting based on information presented on this Site without first seeking the advice of qualified counsel licensed in the relevant jurisdiction.

2.2 No Attorney-Client Relationship

Accessing or using this Site does not create an attorney-client relationship between you and Stone Blossom Capital LLC, Richard P. Ormond, or any of the firm’s professionals. Stone Blossom Capital LLC is not a law firm and does not provide legal services through this Site or otherwise.

2.3 No Fiduciary Relationship Through the Site

Use of the Site does not create a fiduciary, agency, or other relationship. Stone Blossom Capital LLC undertakes fiduciary engagements only pursuant to (a) a court order appointing a member of the firm, (b) a written engagement agreement signed by Stone Blossom Capital LLC, or (c) an instrument of assignment for the benefit of creditors executed in accordance with applicable law.

2.4 Confidential Information

Do not transmit confidential, privileged, or sensitive information to Stone Blossom Capital LLC through the Site, by email, or by any other means before an engagement has been confirmed in writing. Unsolicited information may not be treated as confidential and may not preclude Stone Blossom Capital LLC from representing or acting adversely to you in any matter.

3. Permitted Use

5.3 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial informational purposes. You may print or download a reasonable number of pages of the Site for your personal, non-commercial use, provided you do not modify the content and you retain all copyright and other proprietary notices.

8. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Stone Blossom Capital LLC, its principals, managers, members, employees, agents, contractors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation damages for lost profits, lost data, loss of goodwill, business interruption, or other intangible losses, arising from or related to your use of or inability to use the Site, even if we have been advised of the possibility of such damages.

Our total cumulative liability arising from or related to these Terms or your use of the Site shall not exceed one hundred U.S. dollars (US$100.00).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. To the extent any such exclusion or limitation is prohibited by applicable law, our liability shall be limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Stone Blossom Capital LLC, its principals, managers, members, employees, agents, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and costs) arising out of or related to: (a) your access to or use of the Site; (b) your violation of these Terms; (c) your violation of any rights of another person or entity; or (d) your violation of any applicable law.

10. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-laws principles. You agree that any action arising out of or related to these Terms or the Site shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you irrevocably submit to the personal jurisdiction of those courts and waive any objection based on inconvenient forum.

The foregoing provision does not apply to disputes arising out of court-appointed fiduciary engagements, which are subject to the jurisdiction of the appointing court and governed by the applicable court order, governing instrument, and law of the appointing forum.

11. Dispute Resolution

Any dispute, claim, or controversy arising out of or related to these Terms or your use of the Site shall first be subject to good-faith informal negotiation between the parties. If the dispute is not resolved through informal negotiation within thirty (30) days after written notice, either party may pursue any remedy available at law or in equity, subject to Section 10.

12. Modifications to the Terms

We may modify these Terms at any time by posting the revised Terms on the Site. The “Last updated” date indicates the date of the most recent revision. Your continued use of the Site after the posting of revised Terms constitutes your acceptance of those revisions. If you do not agree to the revised Terms, you must discontinue using the Site.

13. Modifications to the Site

We reserve the right at any time and from time to time, with or without notice, to modify or discontinue (temporarily or permanently) the Site or any portion of it. We are not liable to you or to any third party for any such modification, suspension, or discontinuance.

14. Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

15. Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. No waiver of any provision shall be effective unless in writing and signed by an authorized representative of Stone Blossom Capital LLC.

16. Assignment

You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms at any time without notice.

17. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, pandemic, labor disputes, internet or telecommunications failures, government actions, or other force majeure events.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Stone Blossom Capital LLC with respect to your use of the Site and supersede all prior or contemporaneous communications and proposals, whether oral or written, regarding the subject matter of these Terms.
